1. ELIGIBILITY

a. The terms and conditions set forth herein (the "Official Rules") govern the Waters UPC2 Challenge Program (the "Program") being conducted by Waters Technologies Corporation and its corporate affiliates (the "Sponsor") effective as of the date hereof and ending on Monday, December 31, 2013 at 11:59 PM (EST).

b. To be eligible to participate in the Program, you (the "Entrant") must complete the participation forms located at [INSERT WEBSITE ADDRESS] and execute any other documentation as requested by Sponsor (collectively, the "Entry") and submit the completed Entry as directed.

c. Sponsor, in its sole discretion, reserves the right to accept or reject an Entry for any reason. To the extent that Sponsor accepts an Entry, Entrant agrees to transfer certain materials in a form which, in Sponsor's sole discretion, are capable of analysis (the "Samples") to enable Sponsor to demonstrate the capabilities of its products and services. Entrant is expressly prohibited from transferring the following types of Samples to Sponsor: (i) radioactive Samples; (ii) Samples containing live organisms; and (iii) Samples containing infectious agents (each, a "Prohibited Sample").

d. Entrant acknowledges and agrees that it will not transfer the Samples to Sponsor until expressly directed by an authorized representative of Sponsor. Entrant shall be responsible for any shipping and handling charges related to the transfer of the Samples to Sponsor. Entrant shall provide Sponsor with the necessary instructions for the proper safe use and handling of the Samples prior to shipping the Samples to Sponsor. Entrant acknowledges and agrees that Sponsor will not return the Samples to Entrant upon completion of the Program.

e. By submitting an Entry to participate in the Program, the Entrant fully and unconditionally agrees to the Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Program.

2. PROGRAM RESTRICTIONS

a. The Program is open to any legal entity worldwide; provided, however, that the Program is not open to any entity with respect to which participation in the Program is not permitted under (a) United States laws and regulations controlling the export of certain commodities and technical data, including without limitation all Export Administration Regulations of the United States Department of Commerce; or (b) United States laws and regulations imposing trade embargoes or sanctions, including without limitation those administered by the U.S. Treasury Department Office of Foreign Assets Control. Among other things, these laws and regulations prohibit or require a license for the export of certain types of commodities and technical data to specified countries (the "Territory").

b. Entrant is permitted to submit one Entry per laboratory located at Entrant's facilities in the Territory. An Entry will be deemed made by the authorized account holder of the email address submitted at the time of Entry. The authorized account holder is the natural person who is assigned to the email address by an Internet access provider, online service provider or other organization that is responsible for assigning an email address or the domain associated with the submitted email address. Multiple Entrants are not permitted to share the same email address.

c. Any Entry received with incomplete information will be deemed null and void and the sender of such Entry will not be eligible to participate in the Program. Use of any device to automate an Entry is prohibited. Proof of submission of an Entry shall not be deemed proof of receipt by Sponsor. Sponsor's computer is the official time keeping device for the Program. Sponsor is not responsible for any Entry not received due to difficulty accessing the Internet, service outage or delays, computer difficulties and other technological problems.

d. All Entries must be received by Monday, December 31, 2013 at 11:59 PM (EST).

3. PROGRAM CONDITIONS

a. Entrant represents and warrants that (i) it has all requisite power and authority to bind itself to the terms and conditions set forth herein; (ii) it is duly authorized by all requisite action to consummate the transactions contemplated hereunder; (iii) it has the right to supply the Samples to Sponsor; and (iv) it shall not transfer any Prohibited Sample to Sponsor for any reason.

b. By submitting an Entry and participating in the Program, Entrant acknowledges and agrees that: (i) Except with respect to Entrant's Samples, Sponsor shall own all right, title and interest in and to any information, data, results, improvements, developments, discovery, inventions, analytical methods, processes, improvements or enhancements developed in the performance of the Program (the "Program Results"). (ii) Sponsor shall have the unrestricted right to use, publish and disclose the Program Results for any purpose provided that Sponsor does not disclose the Entrant's identity.

c. The Sponsor, in its sole discretion, reserves the right to cancel, terminate or modify the Program at any time.

4. RELEASE AND DISCLAIMER

a. BY SUBMITTING AN ENTRY AND PARTICIPATING IN THE PROGRAM, ENTRANT HEREBY RELEASES SPONSOR, ITS DIRECTORS, OFFICERS, AGENTS AND EMPLOYEES FROM ANY AND ALL LIABILITY FOR ANY CLAIMS, COSTS, INJURIES, LOSSES OR DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE PERFORMANCE OR NON-PERFORMANCE OF PROGRAM.

b. SPONSOR DOES NOT MAKE OR PROVIDE ANY WARRANTIES HEREUNDER, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ANY PROGRAM RESULTS DEVELOPED IN CONNECTION WITH THE PROGRAM ARE NOT GENERATED FROM VALIDATED METHODS. ALL PROGRAM RESULTS AND ANY OTHER INFORMATION PROVIDED IN CONNECTION WITH THE PROGRAM ARE PROVIDED "AS IS".

c. TO THE EXTENT PERMITTED BY APPLICABLE LAW, SPONSOR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE PERFORMANCE OR NON-PERFORMANCE OF PROGRAM.

d. ANY ATTEMPT BY ENTRANT TO DELIBERATELY DAMAGE ANY SPONSOR WEBSITE, TAMPER WITH THE ENTRY PROCESS, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW. 5. PRIVACY By use of any Sponsor website or by submitting an Entry through any Sponsor website, Entrant agrees to: (i) such website's Terms of Use; and (ii) the use of any Entrant personal information (as defined by applicable law) in accordance with Sponsor's Global Privacy Policy.

6. DISPUTES

a. The Official Rules sets forth the entire agreement and understanding between Entrant and Sponsor and supersedes all previous communications, representations understandings or agreements, either oral or written, relating to its subject matter. Any documentation containing Entrant's terms and conditions issued by Entrant in connection with the provision of Samples shall be solely for the Entrant's internal purposes. The terms of such documentation shall not become binding on Sponsor even if an acknowledgment copy is signed by Sponsor. Sponsor's failure to enforce any term of the Official Rules shall not constitute a waiver of that provision. No modifications to the Official Rules shall be binding upon Sponsor unless it is in writing and signed by a duly authorized representative of the Sponsor.

b. The Program is subject to all applicable federal, state and local laws and regulations and is void where prohibited. All issues and disputes concerning the construction, validity, interpretation and enforceability of the Official Rules or the rights and obligations of an Entrant in connection with the Program shall be governed by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, USA, without regard for conflicts of law principles. All proceedings shall take place in the federal, state or local courts in Boston, Massachusetts, USA.
